1. Acceptance of Terms

By accessing or using Paradha Softech Private Limited's jewellery ERP software and related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. These Terms apply to all users, including businesses and individuals who access or use our software.

2. Description of Services

Paradha Softech Private Limited provides cloud-based enterprise resource planning (ERP) software designed specifically for the jewellery industry. Our Services include:

• Inventory management and tracking
• Billing and invoicing with GST compliance
• Karigar (artisan) account management
• Girvi (pledging) management
• Customer relationship management
• Business analytics and reporting
• Customer support and training

3. Account Registration

To use our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

4. Refund & Cancellation Policy

At Paradha Softech Private Limited, we are committed to maintaining complete transparency and fairness in our business practices. This Refund & Cancellation Policy outlines the terms applicable to all software products, subscriptions, customization services, and related offerings.

4.1. Pre-Purchase Transparency

Before any payment is made, customers are provided with:

• A complete live demonstration of the software
• Detailed explanation of features and modules
• Discussion of specific business requirements
• Clear communication of pricing, subscription terms, and plan details
• Customization scope discussion (if required)

By proceeding with payment, the customer confirms that:

• They have fully understood the software features and limitations
• They agree with the pricing, billing cycle, and plan structure
• They accept the scope of services discussed prior to purchase

4.2. No Refund Policy

Since our products are digital software solutions and involve immediate access to licensed systems, all payments made are strictly non-refundable once any of the following occurs:

• Software access or login credentials are issued
• Installation or activation is completed
• Subscription is activated
• Onboarding, training, or support session is conducted
• Customization or development work has commenced

Due to the nature of digital services and intellectual property, refunds cannot be provided after service activation.

4.3. Customization, Integration & Development Work

All customization, integration, and development work is undertaken only after prior discussion and client approval.

• Advance payment is mandatory before the commencement of any customization, API integration, or development work. No work shall begin without receipt of full advance payment.
• Any new feature requests beyond the agreed scope will be treated as separate paid services.
• No refund will be provided for any partial work completed or any customizations that have been implemented.

4.4. Acceptance of Policy

By purchasing, subscribing to, or using our software products or services, the customer acknowledges that they have read, understood, and agreed to this Refund & Cancellation Policy.

5. User Responsibilities

You are responsible for:

• Ensuring all data entered into the system is accurate and lawful
• Maintaining appropriate backups of your data
• Complying with all applicable laws and regulations, including GST requirements
• Obtaining necessary consents for storing customer information
• Using the Services only for legitimate business purposes

6. Prohibited Uses

You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Transmit viruses, malware, or any harmful code
• Interfere with or disrupt the Services or servers
• Reverse engineer, decompile, or disassemble the software
• Resell, sublicense, or distribute the Services without authorization
• Use the Services to store or transmit infringing or illegal content

7. Intellectual Property

All intellectual property rights in the Services, including software, logos, designs, and content, are owned by Paradha Softech Private Limited or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription period. You retain ownership of all data you input into the system.

8. Data Ownership and Privacy

You retain all rights to the business data you store in our system. We process your data in accordance with our Privacy Policy. We implement appropriate security measures to protect your data but are not liable for unauthorized access resulting from your failure to maintain account security.

9. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for any temporary unavailability due to technical issues, maintenance, or circumstances beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law, Paradha Softech Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be error-free, secure, or uninterrupted. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify and hold harmless Paradha Softech Private Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

13. Termination

Either party may terminate this agreement:

• You may cancel your subscription at any time through your account settings
• We may suspend or terminate your access for violation of these Terms
• Upon termination, you may request export of your data within 30 days
• We may delete your data after the 30-day period following termination

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Gwalior, Madhya Pradesh, India.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
